1. The Service
AirplaneHQ provides software for aircraft partnerships, owner groups, flying clubs, and their members to coordinate scheduling, aircraft information, maintenance planning, discrepancies, projects, expenses, documents, digital logbooks, notifications, reporting, and related workflows (the “Service”). Features may change as the Service develops.
2. Critical aviation boundary
AirplaneHQ is an organizational and collaboration tool. It does not determine airworthiness, approve or release maintenance, certify records, provide dispatch, replace required inspections or official records, confer pilot or maintenance authority, or provide legal, tax, accounting, insurance, or professional aviation advice.
You remain responsible for independent verification, required records, regulatory compliance, operating decisions, aircraft condition, pilot qualifications and currency, maintenance authorization, insurance requirements, partnership procedures, and qualified professional judgment. Do not operate an aircraft based solely on a status, alert, calculation, extraction, suggestion, or absence of warning in the Service.
3. Eligibility and accounts
You must be legally able to agree to these Terms and provide accurate account information. Keep credentials confidential, protect devices and email accounts, and notify support promptly of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by AirplaneHQ’s breach of these Terms.
Accounts are individual. Do not share passwords, API tokens, device tokens, or private calendar links. AirplaneHQ may require identity or authority verification before sensitive account or data actions.
4. Customers, administrators, and users
The person or organization creating a partnership workspace is the Customer. Owners and administrators act for the Customer and may invite users, assign roles, control aircraft and document access, configure settings, and manage records. Customer represents that its administrators have authority to act on its behalf.
Customer is responsible for its users, permissions, notices, consents, record-retention rules, and lawful processing of information placed in the Service. A user’s access may be changed or removed by an authorized administrator. Historical records may remain after active access ends.
5. Customer content
“Customer Content” includes aircraft, member, schedule, flight, maintenance, document, logbook, expense, notification, and other information supplied to the Service. As between the parties, Customer retains its rights in Customer Content. Customer grants AirplaneHQ a non-exclusive, worldwide, limited license to host, copy, process, transmit, display, derive technical formats from, and otherwise use Customer Content only as reasonably necessary to provide, secure, support, and improve the Service; comply with law; and enforce these Terms.
Customer represents that it has all rights, authority, notices, and consents necessary for Customer Content and its processing. Do not upload material that is unlawful, infringing, malicious, unnecessarily sensitive, outside the partnership’s authority, or subject to restrictions incompatible with the Service.
6. Data accuracy and records
Users must enter and review information carefully. Calculations and status depend on supplied dates, aircraft time, intervals, configuration, and source records. OCR and AI output can be incomplete or wrong. Customer must maintain independent copies of records it is required to preserve and should not treat the Service as the sole repository for safety-critical or legally required information.
7. Acceptable use
You must follow the Acceptable Use Policy. You may not access another partnership without authorization, disrupt or probe the Service, upload malware, misuse personal information, evade limits, reverse engineer protected portions except where law permits, or use the Service for unlawful or unsafe conduct.
8. Optional AI and third-party services
When optional AI enhancement is enabled, limited Customer Content may be processed by the configured AI provider to produce draft results. AI output requires human review and is not authoritative. The Service may interoperate with cloud storage, database, email, push, calendar, mobile operating-system, and other third-party services. Their availability and terms are outside AirplaneHQ’s control.
9. Fees, plans, and taxes
AirplaneHQ offers a Free plan and a paid Premium partnership subscription. Current pricing, included features, billing interval, and trial terms are shown on the pricing page and again at checkout. Unless stated otherwise, fees are charged in advance, non-refundable except where required by law, and exclusive of taxes. Customer is responsible for applicable taxes other than taxes on AirplaneHQ’s income.
A Premium trial automatically converts to a paid subscription at the end of the stated trial period unless an authorized partnership owner cancels first. AirplaneHQ may change future pricing with advance notice applicable to a later renewal. A trial or free plan may be modified or discontinued on reasonable notice.
10. Service changes and availability
AirplaneHQ may add, change, suspend, or discontinue features to improve or secure the Service, respond to provider changes, or comply with law. Planned maintenance and incidents may affect availability. No service is uninterrupted or error-free. AirplaneHQ does not guarantee delivery of any notification, email, push, calendar refresh, OCR job, or AI result.
11. Security
AirplaneHQ will maintain reasonable safeguards appropriate to the Service. Customer must use reasonable account and administrative security, promptly remove unauthorized users, limit access, and notify AirplaneHQ of suspected incidents. Neither party will knowingly introduce malicious code into the other’s systems.
12. Suspension and termination
AirplaneHQ may suspend access when reasonably necessary to prevent harm, address security risk, respond to unlawful use, enforce these Terms, or address overdue fees. Where practical, AirplaneHQ will provide notice and an opportunity to cure.
Customer may stop using the Service and request workspace closure subject to authorization, outstanding obligations, legal requirements, and retention necessary to protect other users’ rights. Upon termination, access ends and Customer Content may be deleted after a reasonable export and retention period. Backups and object versions may persist until ordinary rotation.
13. Intellectual property and feedback
AirplaneHQ and its licensors retain all rights in the Service, software, branding, documentation, and aggregated or de-identified service information that does not identify a Customer or individual. If you provide feedback, you grant AirplaneHQ a perpetual, worldwide, royalty-free right to use it without restriction or obligation.
14. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and disclose it only to personnel and providers with a need to know and appropriate obligations. This does not cover information lawfully public, already known without duty, independently developed, or rightfully received from another source.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” AIRPLANEHQ DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND THAT THE SERVICE WILL DETECT OR PREVENT A SAFETY, MAINTENANCE, REGULATORY, FINANCIAL, OR RECORDKEEPING ISSUE.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIRPLANEHQ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF USE, PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION; OR AIRCRAFT DAMAGE, PERSONAL INJURY, OR OPERATING DECISIONS ARISING FROM RELIANCE ON CUSTOMER CONTENT, ALERTS, CALCULATIONS, OCR, AI OUTPUT, OR ABSENCE OF A WARNING.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIRPLANEHQ’S TOTAL LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT CUSTOMER PAID FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain exclusions, so portions may not apply.
17. Indemnification
To the extent permitted by law, Customer will defend and indemnify AirplaneHQ against third-party claims arising from Customer Content, Customer’s violation of law or these Terms, or Customer’s aircraft operation, maintenance, partnership administration, or user permissions, except to the extent caused by AirplaneHQ’s breach or unlawful conduct.
18. General terms
These Terms, incorporated policies, and any applicable order form are the complete agreement regarding the Service and supersede prior discussions on that subject. If an order form conflicts, it controls for that order. Customer may not assign the agreement without consent except in a qualifying merger or sale; AirplaneHQ may assign it in connection with a business reorganization. Neither party is liable for delay caused by events beyond reasonable control. Failure to enforce a provision is not a waiver. Invalid provisions will be modified to the minimum extent necessary, and the remainder continues.
Electronic notices may be provided through the Service or to the account email. The governing-law and forum terms applicable to a paid Customer should be stated in its order form or a later update identifying the AirplaneHQ contracting entity.
19. Changes
AirplaneHQ may update these Terms. Material changes will be communicated through a reasonable channel and take effect on the stated date. If a change materially reduces Customer rights during a paid term, it will ordinarily apply at renewal unless required sooner for legal or security reasons.
